ACN Corporate Structure

ACN conducts its European operations through wholly-owned subsidiaries in each country, most of which are subsidiary companies of its European operating company, ACN Europe B.V. ACN Europe B.V. is a Netherlands corporation. However it is the local subsidiary companies that enter into contracts with Independent Representatives and contracts with customers.
These subsidiary companies are properly incorporated companies and comply with all local laws and regulations, including tax regulations like VAT, that apply to them. These subsidiary companies are registered, have registered addresses and the required number of Board Directors, hold Board and shareholder meetings, file accounts and tax returns, pay all registration fees and applicable taxes and basically do all things required of companies incorporated in that jurisdiction.
ACN's European headquarters are located in Amsterdam and it has satellite offices in Åmål, Sweden and Wrocław, Poland. In some countries, ACN has local agents who manage the affairs of the subsidiary companies, and their prime concern is to ensure compliance with the local corporate formalities.
The subsidiary companies are the locally licensed telecommunications service provider in each country, properly registered with the national regulatory authority for the telecommunications sector and undertaking all necessary filings and reporting as applicable to all telecommunications service providers. This work is handled centrally in Amsterdam by the Legal Department with the assistance of external legal advisors in each country as required.
ACN Europe has the proper processes and relationships in place with different people in each country to ensure that it is compliant with all applicable local laws and regulations relating to those subsidiary companies that provide the foundation for ACN business in each country.
